fa بررسی تطبیقی وکالت و تفویض در نظام ثبت رسمی و تأثیر آن بر اعتبار اسناد در نظام بانکی ایران عمومى General پژوهشي Research <div style="text-align: justify;"><span style="line-height:2;"><span style="font-size:12pt"><span style="direction:rtl"><span style="unicode-bidi:embed"><span new="" roman="" style="font-family:" times=""><span lang="FA" style="font-size:14.0pt"><span b="" nazanin="" style="font-family:"><span style="font-size:16px;">در نظام حقوقی ایران، تنظیم اسناد وکالت در دفاتر اسناد رسمی (سند رسمی) به آن‌ها اعتبار ویژه‌ای می‌بخشد که بر اساس آن، نمایندگی وکیل در حدود اختیارات محوله، در حکم نمایندگی خود موکل تلقی می‌شود. چالش اصلی زمانی بروز می‌کند که وکیل اصلی اقدام به تفویض اختیارات خود به وکیل ثانوی (یا اصطلاحاً، وکالت در توکیل) می‌نماید. این پژوهش با هدف بررسی تطبیقی مفهوم وکالت و تفویض آن در نظام ثبت رسمی ایران و تأثیر عملی آن بر اعتبار اسناد مورد پذیرش نظام بانکی صورت گرفته است. در حقوق ایران، اعتبار این تفویض منوط به تصریح در وکالت‌نامه اولیه و رعایت اصول مربوط به نمایندگی است. این مقاله با مقایسه رویکرد ایران با نظام کامن‌لای انگلستان، نشان می‌دهد که چگونه تفاوت در ماهیت ثبت رسمی و لزوم یا عدم لزوم آن در نمایندگی‌های حقوقی، بر میزان ریسک‌پذیری بانک‌ها در پذیرش اسنادی که اعتبار آن‌ها وابسته به زنجیره نمایندگی است، تأثیر می‌گذارد. نتایج نشان می‌دهد که اگرچه نظام ثبتی ایران امنیت اسناد را ارتقا داده، اما ابهامات پیرامون تفویض وکالت می‌تواند خلأهای اعتباری در معاملات پیچیده بانکی ایجاد کند که نیازمند تدوین رویه‌های قضایی منسجم‌تر یا اصلاحات قانونی است.&nbsp;&nbsp;</span> </span></span></span></span></span></span></span><br> <span style="font-size:12pt"><span style="direction:rtl"><span style="unicode-bidi:embed"><span new="" roman="" style="font-family:" times=""><span lang="FA" style="font-size:14.0pt"><span style="font-family:"B Nazanin""></span></span></span></span></span></span></div> <div style="text-align: justify;"><span style="line-height:2;"><span style="font-size:16px;"><span new="" roman="" times="">In Iran&rsquo;s legal system, powers of attorney executed in notarial offices&mdash;as official deeds&mdash;are granted special legal validity. Under this framework, the attorney&rsquo;s actions, within the scope of authorized powers, are deemed equivalent to those of the principal themselves. The main challenge arises when the original attorney delegates their powers to a substitute attorney (known as <em>substitution of agency</em> or <em>proxy delegation</em>). This study aims to conduct a comparative analysis of the concept of agency (<em>wakālat</em>) and its delegation within Iran&rsquo;s official registration framework, as well as to examine its practical impact on the credibility of documents recognized by the banking system. According to Iranian law, the validity of such delegation depends on explicit authorization within the primary power of attorney and adherence to the principles governing representation. By comparing Iran&rsquo;s approach with that of the common law system in England, the article demonstrates how differences in the nature of formal registration&mdash;and the necessity or dispensability of such registration in establishing legal representation&mdash;affect banks&rsquo; risk assessment when accepting documents whose validity relies on a chain of representative relationships. The findings indicate that although Iran&rsquo;s registration system enhances document security and authenticity, ambiguities surrounding the delegation of agency may create credibility gaps in complex banking transactions.
